Scope of the Power of Attorney

To sell and transfer, and to accept purchases of, all rights of every kind, movable property, including machinery, engines, and all commercial goods and other items, and immovable property of every kind, including real estate, lands, and waters; to mortgage such property and place it as security in favour of any person; to cancel security; to lend and borrow; to pay and collect debts; to collect sale, mortgage, and security consideration; and to dispose of, manage, and invest such property.

The Agent may lease and rent, enter into agricultural leases, vacate and obtain the removal of unlawful possession, make gifts and accept or return them, donate, enter into partition by agreement, waive, assign, arbitrate, object, accept, pay taxes, fees, securities, and advances, and recover them.

The Agent may construct, develop, and repair; contract for buildings; exchange real estate and its divisions and parts; conclude contracts, works contracts, and companies of any kind, operate them, amend their terms, terminate them, and extend them; settle accounts with any person; impose and register provisional and enforcement attachments and release them; accept settlements; transfer; correct descriptions, names, and surnames; receive documents and title deeds and request replacements for lost deeds; partition, separate, allocate, substitute, expropriate, regulate, consolidate, register, barter, exchange, arrange use, remove co-ownership, and make and annul undertakings.

The Agent may stand surety in his or her name for any person, in any amount and under the terms he or she considers appropriate; provide guarantees to the competent authorities and cancel them; establish inheritance; liquidate estates and family endowments; obtain building and other licences; prepare plans; collect and deposit postal and bank transfers; and receive ordinary, registered, and guaranteed parcels and letters.

The Agent may establish commercial and industrial premises and assign them and their goodwill (khلو اليد), with or without consideration, collect the consideration regardless of its amount, and liquidate them; import and export; open covered or uncovered credits with banks and financial houses; receive deposits; participate in tenders and auctions; accept final awards; submit offers; and conduct customs and accounting transactions and settlements.

The Agent may collect and disburse, settle, make admissions, arbitrate, release, waive, and deny; sign and represent me fully before real-estate and financial departments, notaries public, syndicates, governorates, all official departments, and courts of every kind; and provide declarations and guarantees relating to Agricultural Reform Law No. 161 of 1958 and its amendments.

The Agent may manage all my affairs and dispose of them fully, conduct all my private and public commercial, financial, and real-estate dealings, and do everything I could do myself; sell the usufruct right or sell the bare ownership without the usufruct right; sell water, including Ain al-Fijeh water, and register it with its authority; sell shares in companies of every kind; sell a telephone and assign it subject to the approval of the competent department; and purchase all of the foregoing at the consideration he or she wishes, receiving and paying it.

The Agent may collect salaries, allowances, revenues, advances, securities, compensation, entitlements, retirement pensions, dividends on shares, and company profits and other amounts from any company, financial institution, bank, ministry, department, or treasury, regardless of the amount, monthly, in one payment, or in instalments.

The Agent may request nomination for councils of every kind and withdraw the nomination; register with industrial, agricultural, commercial, and other chambers; install pumps on agricultural lands and request licences for them; plant and cut fruit-bearing and non-fruit-bearing trees; exploit agricultural lands; send and receive postal cards, registered or unregistered; collect postal and bank transfers and cheques from any source; and endorse and transfer money to any person he or she wishes.

Litigation and Judicial Representation

The Agent may appoint himself or another person before the Bar Associations under judicial powers of attorney of every kind. I authorise the Agent to litigate and appear in proceedings against any person, on any matter and in any capacity, and against any department, institution, treasury, committee, or legal person, jointly or separately, before all courts of every level, the State Council, the Disciplinary Council, enforcement departments, general accountants’ departments, public prosecution offices, notary departments, and all official departments and institutions and national and foreign authorities within the territory of the Syrian Arab Republic and abroad, in any capacity.

This power includes carrying out the acts and procedures necessary to file and pursue actions and defend them; accept, administer, and reject oaths; serve and receive service; establish evidence; submit pleadings, petitions, objections, apologies, and open cards and receive them; and submit all other requests. It also includes requesting the recusal of judges, filing complaints against and litigating them, alleging forgery, appointing experts and arbitrators and requesting their recusal, requesting imprisonment and withdrawing that request, and pursuing methods of appeal against enforcement decisions.

The Agent may appoint one or more other persons on my behalf for all or part of the matters stated above, remove agents, and appear before enforcement, financial, municipal, civil-status, title-registration, and real-estate judge departments, committees for demarcation and registration, endowment departments, and all official departments. This is a delegated power authorising the Agent’s statements, opinion, and acts, and no matter within the power of attorney is excluded, whether mentioned or not mentioned.

Bank Accounts

The Agent may open and operate credit and debit current accounts with banks; withdraw and deposit funds in my name, in one payment or in instalments; deliver to banks all securities consisting of shares, cash, and bonds; and buy and sell foreign currency.
